This agreement made this 13th day of April 2023 between The Pagan Path, Inc, and the Beltane – May Day Festival, hereinafter referred to as “the Venue”, and Virginia Murphy AKA Ginnie Fae, hereinafter referred to as “the Artist(s), to contract for services at the following event:

BE IT KNOWN, that the Venue contracts for the services of Artist(s) as an independent contractor(s), not as an employee, on the terms and conditions set forth below. Artist(s) agree(s) to render to the Venue services as follows:

Throughout the festival on Saturday, April 29, 2023, and Sunday, April 30, 2023.

COMPENSATION:
Compensation in the amount of $350 will be paid at the completion of contracted services. In addition to the contracted compensation, The Pagan Path, Inc will provide artist(s) with a camping spot, and a 12'x12' vendor spot to sell merchandise. Artist(s) is performing multiple shows on separate days, compensation will be paid following the last contracted performance.

PAYMENT:
Payment is to be issued to the artist in the form of cash, Cash App, Venmo, or PayPal immediately following the last contracted performance.

CONTRACT DETAILS:

1. The Pagan Path, In contracts for services of the Artist(s) as (an) independent contractor(s) and not as (an) employee(s). The performer(s) are self-employed or employees of Artist(s) who have the duty of and will be responsible for complying with Federal, State, and Internal Revenue Service laws and regulations pertaining to the withholding of taxes and social security, and for complying with any union or Federation rules pertaining to a deduction for dues and any health or welfare fund, and any other union or Federation deduction or payment, and Artist(s) will hold The Pagan Path harmless and indemnify for any claims therefrom.
2. Artist(s) will be allowed reasonable access to the venue before and after their scheduled performance for the purpose of assembling equipment, performing sound checks, and removing equipment. The artist (s) will arrive at the event within the timeframe designated above.
3. It is mutually agreed that neither party shall be responsible for any provision in this contract when prevented from complying with a contractual provision due to an Act of God(s) or any other legitimate condition beyond the control of the appropriate party.
4. Artist(s) shall reimburse, indemnify and hold harmless The Pagan Path for all loss to The Pagan Path, Inc. Beltane – May Day Festival, Thomas and Orallee Robinson resulting from the negligence of the Artist(s) in the performance of this contract. In further consideration, the Artist(s) agrees to assume all liability, jointly and severally, for any injuries or damages that may be performance related, or that the Artist(s), its employees, or performers may cause to any persons or property during the Artist(s) use of and visit to the Beltane-May Day Festival at The Pagan Path while Artist(s) is (are) engaged in activities described hereinabove.
   1. The Pagan Path, Inc shall not be held liable for any damages or injuries of the Artist(s), their performers, contractors, or their equipment, while on The Pagan Path, Inc, Beltane – May Day Festival and Artist(s) hereby release The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents from all form and manner of risks inherent or relenting to such activities and agrees to waive all claims and demands of any nature arising from the said visit, performance, and activities, except for those losses or claims arising from the sole or willful negligence of The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents.
5. The validity, interpretation, and effort of this contract shall be governed by the law of the State of North Carolina. The laws of the State of North Carolina shall govern all rights, obligations, remedies, and liabilities arising pursuant to this contract. The venue for any legal action relating to this contract shall be Rockingham County, North Carolina.
6. Only those items or services specifically delineated in this contract hereto are being provided or paid for by The Pagan Path. Inc. No additional costs for items or services will be borne by The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents without expressed written consent.
7. Artist(s) shall be solely responsible for the payment of any and all royalty fees payable as a result of the performance of any copyrighted music or matters performed pursuant to the copyright laws of the United States or any other country and will hold The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents harmless and indemnify The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents from any claims therefrom.
8. Any person and/or entity executing this contract, other than the Artist(s), expressly warrants that he/she is authorized to execute this contract on behalf of the Artist(s) for the Beltane-May Day Festival.
9. This contract shall not be binding upon The Pagan Path, Inc until fully executed, including signing and initialing any changes by the parties hereto, or their authorized representatives, and delivered to The Pagan Path, Inc no later than 11:59 PM on April 16, 2023.
10. The Pagan Path, Inc representative signing this agreement certifies that they sign as properly authorized representatives of The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents and do not assume any personal liability for meeting the terms of this contract.
11. The Pagan Path, Inc may modify this contract provided written notice is given to the Artist(s). Both parties must sign and initial all additions and deletions to this contract in order to be valid. This contract thereto represents a complete and final expression of the parties agreement. The parties will therefore be responsible for those items expressed in this contract, irrespective of any additional or contrary oral or written statements or representations.
12. The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents are Equal Opportunity individuals and organizations and do not discriminate on the basis of religion, race, age, color, sex, sexual orientation, national or ethnic origin, political affiliation, or disability. As such, the Artist(s) shall not discriminate in any manner against any employee, attendee, or representative because of religion, race, sex, sexual orientation, national or ethnic origin, political affiliation, or disability.
13. If Artist(s) fail(s) to fulfill its obligation under this agreement properly and on time or otherwise violates any provision of this agreement, The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents may terminate this agreement by written notice to the Artist(s) without any obligation on the part of The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents. The artist (s) shall remain liable after the termination for any damages caused by Artist(s) breach. The notice shall specify the acts or omissions relied on as cause for termination. The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents shall pay the Artist(s) fair and equitable compensation for satisfactory performance rendered at the Beltane-May Day Festival prior to the receipt of the notice of termination by Artist(s), less the amount of damages arising from the breach of contract by the Artist(s). In the event that damages to The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents exceed the compensation payable to the Artist(s), Artist(s) shall remain liable after termination and The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents may affirmatively collect damages.
14. Artist(s) has (have) the option to have a souvenir concession stand set up at the Beltane-May Day Festival at no charge. The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents shall not be responsible for the security or storage of Artist(s) souvenir goods or items and Artist(s) shall hold harmless The Pagan Path, Inc, Beltane – May Day Festival, Thomas and Orallee Robinson, its officers, staff, employees, representatives, and agents.
15. The Artist(s) and performers acknowledge that each of them has received a copy of an executed copy of this contract and will be sensitive to the commonly accepted local standards of civility and conduct incidental to their performances.
16. In the event any of the provisions of this agreement are rendered invalid, illegal, or unenforceable for any reason, the remainder of this agreement shall remain in full force and effect and shall be binding on the parties hereto.

IN WITNESS WHEREOF, the parties hereby agree and accept the foregoing terms and provisions of this Agreement, and each of the parties has authorized their official representatives to execute on the date as shown herein.
